Membership Terms of Service
These Membership Terms of Service ("Terms") govern your access to and use of the BakeCheck platform as a subscribing business ("Member", "you"). By creating an account, accepting an invitation to join a bakery workspace, or using the platform, you agree to these Terms.
Please read the Label Liability terms and the Platform Privacy Policy as well — they form part of this agreement.
1. Who we are
BakeCheck is operated by [LEGAL REVIEW: insert operating legal entity name, company registration number, and registered office address] ("BakeCheck", "we", "us"). You can contact us at [LEGAL REVIEW: insert contact/support email].
2. Definitions
- Platform — the BakeCheck web application, including the admin dashboard, label tools, and any hosted storefronts we provide.
- Workspace / Tenant — the isolated account belonging to a single bakery business, containing that business's ingredients, products, labels, customers, and orders.
- Member Data — data you or your staff enter into the Platform, including recipes, ingredients, product information, and your shoppers' order details.
- Shopper — a member of the public who places an order through your storefront.
3. Your account and eligibility
You must be at least 18 years old and operating as, or on behalf of, a food business to use the Platform. You are responsible for the accuracy of your registration details, for keeping your login credentials secure, and for all activity that takes place under your account. Each user is invited to a single Workspace and must not share their login.
4. Membership, fees and payment
[LEGAL REVIEW — payment processing is not yet implemented; this section is a placeholder to be completed before paid memberships launch.]
Membership may be offered on a free tier and/or one or more paid subscription tiers. Where fees apply, they will be presented to you before you subscribe. Unless stated otherwise:
- Subscriptions renew automatically for successive billing periods until cancelled.
- Fees are stated exclusive of VAT unless otherwise indicated, and VAT will be added where applicable.
- You can cancel at any time; cancellation takes effect at the end of the current billing period, and we do not provide pro-rata refunds except where required by law.
- We may change fees on reasonable notice, effective from your next billing period.
5. Acceptable use
You agree not to:
- use the Platform for any unlawful purpose or in breach of food safety, labelling, or consumer protection law;
- upload content that is unlawful, infringing, or that you do not have the right to use;
- attempt to access another Member's Workspace or data, or probe, scan, or test the security of the Platform without our written permission;
- scrape, resell, sublicense, or white-label the Platform or its data except as expressly permitted; or
- misuse the shared ingredient catalogue or any platform data beyond your own labelling needs.
6. Your data and content
You retain ownership of your Member Data. As between you and BakeCheck, you are the data controller for your Shoppers' personal data and BakeCheck acts as your data processor — this relationship is described in the Platform Privacy Policy, which includes our data-processing commitments. You grant us the licence needed to host, process, and display your Member Data for the purpose of providing the Platform.
7. Labels and allergen information
The Platform helps you generate ingredient and allergen labels using AI assistance. These labels are drafts and you are responsible for reviewing and approving each one before use. Your responsibilities and the limits of ours are set out in full in the Label Liability terms, which form part of this agreement.
8. Disclaimers and limitation of liability
[LEGAL REVIEW — liability caps and warranty disclaimers must be drafted/checked by a solicitor and comply with the Consumer Rights Act 2015 and UCTA 1977 where applicable.]
The Platform is provided "as is" and "as available". To the fullest extent permitted by law, we exclude implied warranties and are not liable for indirect or consequential loss, loss of profit, or loss of goodwill. Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud. Nothing in these Terms transfers to BakeCheck your legal responsibility, as a food business, for the accuracy and compliance of the labels and information you publish.
9. Suspension and termination
We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Platform or other Members. You may stop using the Platform and close your account at any time. On termination we will make your Member Data available for export for a reasonable period and then delete it in line with the Platform Privacy Policy.
10. Changes to these Terms
We may update these Terms from time to time. Where changes are material we will give you reasonable notice. The current version and its effective date are shown at the top of this page. Continued use after changes take effect constitutes acceptance.
11. Governing law
[LEGAL REVIEW — confirm governing law and jurisdiction.] These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless mandatory local law provides otherwise.
12. Contact
Questions about these Terms can be sent to [LEGAL REVIEW: insert contact email].
